66W Certificates in NSW — What Buyers Should Properly Understand

In New South Wales, a 66W Certificate is often introduced at a point where timing is already tight.

Buyers are typically focused on securing the property and may be told that providing a 66W Certificate will strengthen their position or assist in progressing the transaction more quickly. While this can be true in a negotiation context, what is often less understood is the legal effect of providing the certificate.

A 66W Certificate removes the buyer’s cooling-off rights entirely.

This means that once contracts are exchanged with a 66W Certificate, the buyer is immediately bound by the terms of the contract without the ability to withdraw during a cooling-off period.

That can significantly change the position.

What we often see in practice is that the request to sign a 66W Certificate comes at a time when contracts have only recently been provided, or where there is pressure to move forward quickly.

In those situations, the decision is not simply about competition with another buyer. It is about whether the contract has been properly reviewed and understood before all exit rights are removed.

The distinction is important.

Once a 66W Certificate is provided and contracts are exchanged, the buyer is committed to proceed in accordance with the contract terms, including settlement timing and any obligations contained within the special conditions.

Example from practice: in one transaction, a buyer was asked to provide a 66W Certificate to secure the property quickly, however further review of the contract identified conditions that required clarification before proceeding. That review allowed the buyer to make a more informed decision before giving up cooling-off rights.
